Soundroid Terms of Service

1. Acceptance of the Terms

These Terms of Service (the "Terms") are an agreement between you and SENDA LLC ("we", "us", "our", "Senda"), a limited liability company organized under the laws of the Commonwealth of Puerto Rico, with a mailing address at 410 Avenida Montesol, Ste 14 #2078, Fajardo, Puerto Rico 00738.

By downloading, installing or using the Soundroid mobile application (the "App") you agree to these Terms. If you do not agree to them, do not use the App.

You must be at least 13 years old to use Soundroid. If you are between 13 and 18, you represent that a parent or guardian has reviewed and accepted these Terms on your behalf.

2. Important Notices — Please Read Them

Soundroid changes your phone's sound settings automatically. While a schedule set to Vibrate or Silent is running, you may not hear calls, messages, alarms or other alerts.
Sound and Vibrate turn Do Not Disturb off. When a schedule switches to Sound or Vibrate, or restores your previous mode, the App turns Do Not Disturb off if it was on.
Changes are not guaranteed to the minute. Android, battery-saving features, your phone maker's settings, or permissions you revoke can delay or prevent a scheduled change.
Do not rely on Soundroid where a missed call or alert could cause harm. The App is a convenience tool, not a safety, medical or emergency system.
The App shows ads. They are what pays for its development.
These Terms include a limitation of liability (Section 9) and an agreement on governing law and venue (Section 13).

3. Description of the Service

Soundroid lets you create schedules that switch your Android phone between Sound, Vibrate and Silent on the days and at the times you choose, and, if you want, restore the mode your phone was in when the schedule ends. The App shows which schedule is active and which one comes next.

The App works entirely on your phone: it needs no account, and your schedules work without an internet connection.

We may add, change or withdraw features at any time. We work to keep the App working well, but we do not guarantee that it will run uninterrupted or error-free.

4. Your Phone and Permissions

For schedules to work, you must allow the App Do Not Disturb access and Alarms & reminders in your phone's settings. Without Do Not Disturb access, schedules set to Silent use Vibrate instead.
You remain responsible for your phone's settings. The App does not change your phone's emergency-alert settings; how those alerts behave while your phone is on Vibrate or Silent depends on Android and on your phone.
Your schedules and settings are stored only on your phone. If you uninstall the App, clear its storage or lose your phone, they may be lost, unless Android backup restores them.

The handling of your information is governed by our Privacy Policy.

5. Ads and the "Remove ads" Option

Soundroid is free and is funded by advertising through Google AdMob. By using the App you accept that ads will be shown.

We do not control the content of third-party ads and we do not endorse the products or services advertised. Any transaction you enter into with an advertiser is solely between that company and you.

The "Remove ads" option

The More screen includes Remove ads, a one-time purchase that turns ads off in the App.

The payment is processed exclusively through Google Play, which shows you the price before you confirm. SENDA LLC never sees or stores your payment details.
The purchase belongs to the Google account you buy it with. On another phone, or after reinstalling the App, ads stay off as long as Google Play is signed in to that account. The App checks with Google Play when it opens.
Refunds are handled by Google Play under its policies; we cannot issue them directly. If a purchase is refunded, ads come back.

Right of withdrawal (European Union, EEA and United Kingdom)

If you pay for "Remove ads" from the European Union, the EEA or the United Kingdom, consumer law grants you fourteen (14) calendar days to withdraw from a distance contract. By confirming the payment you expressly request that performance begin immediately — the ads disappear at once — and you acknowledge that, once performance is complete, you lose the right of withdrawal, in accordance with Article 16(m) of Directive 2011/83/EU and the national rules transposing it. This does not affect your statutory rights if the option is defective or does not work as described, nor Google Play's refund policies.

6. Acceptable Use

In using Soundroid, you agree not to:

Tap ads, or have others tap them, to generate artificial ad activity, or otherwise interfere with the ads shown in the App.
Copy, modify, reverse-engineer or redistribute the App, or create modified versions of it, including versions that remove or bypass its ads.
Use the App in a way that breaks the law or harms other people.

7. Intellectual Property

The App, its code, its design, its name and its logo are the property of Senda LLC and are protected by intellectual property law. You acquire no rights in them beyond the personal, limited, non-exclusive, non-transferable and revocable licence to use the App under these Terms.

The names you give your schedules are yours; they stay on your phone.

Soundroid is an independent development and is not affiliated with, sponsored by or endorsed by Google. Android is a trademark of Google LLC.

8. Disclaimer of Warranties

The App is provided "as is" and "as available", without warranties of any kind, express or implied. To the extent permitted by law, we expressly disclaim the warranties of merchantability, fitness for a particular purpose and non-infringement.

In particular, we do not warrant that a scheduled change will happen at the exact time you chose or at all, that your phone will be silent, vibrating or ringing at any given moment, that the App will be error-free or available without interruption, or that your schedules will be kept indefinitely.

9. Limitation of Liability

To the maximum extent permitted by law, Senda LLC will not be liable for indirect, incidental, special, consequential or punitive damages, including damages arising from missed or unheard calls, messages, alarms, alerts or appointments, from your phone being silent, vibrating or ringing at any time, from Do Not Disturb being turned on or off, or from the loss of your schedules or settings.

Our total, aggregate liability to you for any claim relating to the App will not exceed the total amount you have paid us in the preceding twelve (12) months or US$25, whichever is greater. Since Soundroid is free, in most cases that amount will be US$25.

Some jurisdictions do not allow certain warranty exclusions or liability limitations; in those cases, the limitations above apply to the maximum extent the law permits.

10. Indemnification

You agree to indemnify and hold harmless Senda LLC, its members and contributors, against any claim, loss or expense (including reasonable attorneys' fees) arising from your use of the App in breach of these Terms or of the law.

11. Changes to the App and to the Terms

11.1 We may modify, suspend or discontinue the App — or any of its features — at any time.

11.2 We may update these Terms. When we do, we will change the "Last updated" date at the top of this document. If the change is significant, we will give notice inside the App. Continuing to use Soundroid after a change takes effect means that you accept it.

12. Termination

You can stop using Soundroid whenever you want by uninstalling it, which also deletes your schedules and settings from your phone.

We may terminate your licence to use the App if you breach these Terms, or if the law requires us to.

Sections 7, 8, 9, 10 and 13 survive termination.

13. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to its conflict-of-laws rules. Any dispute will be submitted to the exclusive jurisdiction of the courts of Puerto Rico, and both you and we consent to that jurisdiction.

14. General Provisions

Entire agreement. These Terms and the Privacy Policy constitute the complete agreement between you and Senda LLC regarding the App.
Severability. If a court holds any provision invalid, the rest remains in full force.
No waiver. Our failure to exercise a right at a given moment does not mean we waive it.
Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets.
Google Play. Google is not a party to these Terms and has no obligation whatsoever to provide support for the App.
